Provision of legal support for the Maritime Strategic Capability Agreement (MSCA) Future Arrangement (FA).

Direct Award Call-Off from Crown Commercial Services (CCS) Framework RM3786

Panel Services:

  • i.Review RPA documents and provide advice on the remaining liabilities under the Restated Principle Agreement (RPA) between MOD and QinetiQ inclusive of those relating to the cost of decommissioning testing facilities and the potential redundancy costs associated with those facilities.
  • ii.Review RPA documents and provide advice on the liability for the Contractor's costs associated with the closure of MSCA Strategic Assets; and
  • iii.Review RPA documents and provide advice on the liability for the Contractor's Fixed Costs (as defined in the RPA) of keeping the MSCA Strategic Assets operational including any entitlement of the Contractor to claim the redundancy costs associated with the planned rationalisation programme to be implemented in connection with the provision of the MSCA services.
  • iv.Review RPA documents and provide advice on the entitlement of the Authority to unilaterally de-designate Strategic Assets (as defined in the Restated Principal Agreement between the parties dated 1 July 2001 ("RPA")) under the terms of the RPA;
  • v.Review of the rationale and confirmation of the validity of the single source justification for the various workstreams captured within the MSCA FA requirement and advice on testing assumptions with the market.
  • vi.Review and provide advice on the MSCA FA contract documents and support in drafting the bespoke contract terms and conditions.
  • vii.Support and/or drafting not covered under (i) to (vi) above in relation to the Project as the Customer may require."
