This procurement is being concluded following a mini competition under the Crown Commercial Services RM6240 Public Sector Legal Services Framework Lot 1a.
Brief Description of Requirement
UK SBS is a non-profit making private company limited by shares wholly owned by the Department for Business, Energy and Industrial Strategy (BEIS) and UK Research and Innovation (UKRI). It operates entirely within the public domain and is subject to public sector accounting and financial disciplines, to public and Company law and operates as a Public Contract Regulations 2015 (PCR 2015) Regulation 12 entity. Its purpose, power and duties are set out in the Articles of the Company and Shareholders' Agreement. The Company is classified as a central government organisation by the ONS/HM Treasury Classifications team, as a Non-Departmental Public Body (NDPB) by the Cabinet Office and is an Arm's Length Body (ALB) and Partner Organisation (PO) of BEIS.
The UK SBS Company Secretary (CoSec) is due to start maternity leave on 14 May 2023 and professional cover is being sought for the core secretarial duties. The successful supplier needs to be able to grasp quickly the governance set up of the Company and its constitutional documents. An understanding of PCR 2015 Reg 12 'Teckal' arrangements would be an advantage alongside public sector experience and working with government departments.
Appropriate professional support and expertise is required to ensure the governance operations of the Company continue whilst the CoSec is on maternity leave. This includes the full administration of Board and Audit Committee meetings and ensuring that decisions are taken at the right level in accordance with the constitutional documents whilst following correct process. Due to no available internal resource with the capacity to undertake this work in the CoSec's absence, external resource is being sought.
