Work requirement (A) - Corporate Structures

We will provide the Supplier with the information that we currently hold on the ownership of each of the main 17 regulated water and waste water companies and would like the Supplier to identify actual or potential issues that could affect the regulated companies position, including:

Reviewing the structure and ownership of each holding company group.

Identifying issues in the structure (at holding company level/other associate company level) that could affect the regulated company in any way.

Anything else the Supplier identifies that is not listed above, to be agreed in advance.

The work should highlight any particular concerns about the financial position of the holding companies, how that impacts the regulated companies, and its ability to withstand the impact of cost shocks, access to new capital, and any reduction/cessation in the flow of dividends from the regulated company.

Where groups have undergone any restructuring activities in the last 2 years the work should provide a view on the purpose of that restructuring and any risks which might be associated with the approach that has been taken.
