In accordance with the Shareholder Framework Document, the Chair should ensure that there are regular internal and external reviews of Board performance and composition, with an externally facilitated Board evaluation at least every three years.
In addition, the UK Corporate Governance Code states that there should be a formal and rigorous annual evaluation of the performance of the board, its committees, the chair and individual directors and that the chair should consider having a regular externally facilitated board evaluation. The annual evaluation of the board should consider its composition, diversity and how effectively members work together to achieve objectives. Individual evaluation should demonstrate whether each director continues to contribute effectively.
The Board completed an internal self-assessment review during 2021, and now wish to complete an externally facilitated review of the Board during 2022.
Additional information: The contracting authority considers that this contract may be suitable for economic operators that are small or medium enterprises (SMEs). However, any selection of tenderers will be based solely on the criteria set out for the procurement.
