A company owned by The Department for Business,Innovation and Skills (BIS) is looking to procure a legal adviser to execute a potential sale of two portfolios of interests in private equity funds. BIS Co is open to selling the portfolios together or separately to maximise value achieved, and is able to retain one or both portfolios if satisfactory terms and value for money cannot be achieved in a transaction.
The expectation is that the interests will be sold at the portfolio level rather than individual funds transferred.
Scope will include a review of each portfolio’s LPA documents, a review of transaction documents, drafting and negotiating buyers NDAs, preparing a draft PSA, conducting PSA negotiations and drafting and negotiating transfer documents.
Additional information: This requirement is of a sensitive nature and requires the signing of a Non-Disclosure Agreement (NDA) before any other additional information can be provided. You will find this NDA attached to this notice.
Non-Disclosure Agreement (NDA)
The NDA must be returned fully completed to Professionalservices@uksbs.co.uk and Thomas.ellis@uksbs.co.uk by 13:30 on 11/04/2016 to guarantee that you have full access to the information for the full tender period. As part of the strategic alliance between UK Shared Business Services Ltd (UK SBS) and Crown Commercial Service (CCS), UK SBS can use the CCS eSourcing Suite for future procurements.

Please note that, to register, you must have a valid DUNS number (as provided by Dun and Bradstreet) for the organisation which you are registering, who will be entering into a contract if invited to do so.
The Sourcing documents can then be accessed on the eSourcing Suite at: https://gpsesourcing.cabinetoffice.gov.uk.
As a user of the e-Sourcing Suite you will have access to Emptoris email messaging service which facilitates all messages sent to you and from you in relation to any specific RFX event.
